Corporate and Intellectual Property Law

In the Corporate sector, we deal with incorporation and restructuring of companies, and have rendered advice on external commercial borrowings, shareholding patterns, SEBI guidelines and regulations and the like and have drafted agreements for investments – share / debenture holdings, foreign collaborations, joint ventures, services/marketing agreements, etc. Lexplexus has also dealt with corporate litigation on various intricate issues like winding up, mergers & amalgamations, oppression & mismanagement, etc before various fora like the Company Law Board, Tribunals, High Court, etc.

The team has also drafted and vetted agreements relating to power purchase, fuel supply, works contracts relating to coal washeries and the like. We have rendered opinions and advise on matters relating to electricity regulation, negotiation of power purchase agreements, etc.

Working with laws concerning Intellectual Property, we have managed a wide variety of cases pertaining to the infringement of Trademarks and Designs. The registration of Trademarks, Copyrights and Patents has also been a core service rendered to clients from different businesses. We also draft agreements relating to online contracts, software licensing and other allied areas. Further, we have rendered advice and opinion on issues relating to cyber law and economic offences.


Civil & Property

This being one of our key practice areas, we handle a variety of civil suits – like specific performance, injunctions, wills, probate, succession, trusts, recovery of money, assertion of contractual & other rights, etc. We also deal with consumer complaints, employment & industrial disputes, environmental & forest laws and litigation under SARFAESI Act before the DRT.

Property -

We are involved in litigation pertaining to property matters like declaration of title, partition, land grabbing, etc. We also work with large companies in aggregating lands for the formation of townships, handling aspects pertaining to title scrutiny, zoning, litigation and advice concerning the compliance of land laws. Our work has of course included matters such as the registration of properties, the drafting and vetting of joint development agreements, construction agreements, title scrutiny, lease deeds and more – in relation to both commercial and residential properties.


Cross Border Contracts and Disputes

We have profound expertise and diverse capabilities in handling complex commercial disputes with disparate scales. These cover SOWs, internet related contracts, contracts related to e-commerce, franchise agreements, contracts pertaining to assignment and transfer of Intellectual Property and various service related contracts. We are involved in international arbitrations relating to disputes arising out of cross border contracts.


Family Law

We deal with matters relating to matrimony & child custody; succession & inheritance; partition & family settlement, etc.


Taxation

We deal with litigation in both Direct & Indirect taxes, at various levels of Appeals and also render comprehensive advice on tax implications for setting up new business, business restructuring, etc


Alternate Dispute Resolution

We have consistently maintained a firm presence in alternate dispute resolution processes, particularly in arbitrations, including those under the International Chamber of Commerce Arbitrations, Mediations, Conciliations, etc


Criminal Law

We represent clients on select criminal cases before the Magistrate & Sessions court, courts for special economic offences, High Court for matters pertaining to cheque bounce, criminal breach of trust, economic offences, cyber law, IPR , etc..
